A Resolution authorizing Pawnee County Kansas to enter into a lease with the Pawnee County Kansas Public Building Commission; authorizing Pawnee County Kansas to enter into a sublease with Pawnee Valley Community Hospital, Inc.; and authorizing the execution there of and certain related documents in connection with the issuance by the Pawnee County, Kansas Public Building Commission of its hospital revenue bonds series 2011 (Pawnee Valley Community Hospital Project).
WHEREAS, the Pawnee County, Kansas Public Building Commission (the issuer) is a duly organized municipal corporation created by Pawnee County, Kansas (the County); and
WHEREAS, the Issuer is authorized by K.S.A. 10-1201 et. seq., and K.S.A. 12-1757 et. seq. as amended and supplemented by Charter Resolution No. 14 of the County, all as amended (collectively ... the Act), to issue hospital revenue bonds, the proceeds of which shall be used for the purpose of paying all or part of the cost of acquiring, constructing furnishing and equipping health care facilities;
WHEREAS, on March 11, 2011, the County adopted Resolution No. 2011 1-06 requesting the issuer to issue revenue bonds in an amount not to exceed $18 million for the purpose of acquiring, constructing, furnishing and equipping a new Pawnee Valley Community Hospital facility, and acquire a physician’s clinic adjacent to the hospital facility (collectively, the Hospital); and,
WHEREAS, the proposed costs of the construction and acquisition have increased and the County requests that the Issuer issue revenue bonds in an amount not to exceed $20 million in one or more series and,
WHEREAS, pursuant to the Act, the Issuer proposes to issue its Hospital Revenue Bonds, Series 2011 (Pawnee Valley Community Hospital Project) (the Series 2011 Bonds) and Hospital Revenue Bonds, Series 2012 (Pawnee Valley Community Hospital Project) (the Series 2012 Bonds) for the purpose of acquiring, constructing, furnishing and equipping a new Pawnee Valley Community Hospital facility, and acquiring physician’s clinic adjacent to the hospital facility; and;
WHEREAS, the Series 2011 Bonds (the Bonds) will be issued under a Bond Trust Indenture (the Bond Indenture), by and between the issuer and BOKF, N,A., Kansas City, Missouri; as Trustee (the Trustee); and
WHEREAS, the Board hereby determines that it is in tho best interest that the County and the Issuer enter into a Lease (the Lease) to provide for the construction of a new Pawnee Valley Community Hospital facility and acquiring the physician’s clinic (collectively, the improvements) and the leasing of the Land and the Improvements by the Issuer to tho County’s Land and the improvements collectively referred to as the Project); and,
ADOPTED, by the Board of County Commissioners of Pawnee County, Kansas, on November, 14, 2011.
